A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. Subject to federal, state, and local laws, regulations, and ordinances. Void in Puerto Rico, the U.S. Virgin Islands, U.S. Military Installations located in foreign countries, and where prohibited by law.

Sponsor: The Promotion is sponsored by Spice World LLC. (“Sponsor”).

Entry Period: Participants may enter the Promotion October 16 – 18, 2025 during public event hours of the Global Produce & Floral Show Trade Show taking place in Anaheim, California (the “Event”) (“Entry Period”). Sponsor’s clock will be the official timekeeping device of the Promotion and all of Sponsor’s determinations involving Promotion timing shall be final.

Eligibility: The Promotion is a trade promotion that is not open to the general public. The Promotion is open to (A) legal U.S. residents currently residing in the 50 United States including the District of Columbia; (B) who are 18 or older and are of the age of majority in their state of residence as of the date of entry; and (C) who are attending the Event. Employees, officers, and directors of Sponsor or Sponsor’s parents, affiliates, subsidiaries, representatives, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Employees, officers and directors of competitors of Sponsor or Sponsor’s affiliates are not eligible to enter or win. Participation constitutes entrant’s full and unconditional agreement to these Official Rules, which are final and binding in all matters related to the Promotion. Sponsor reserves the right to verify the eligibility of winners.

How to Enter: During the Entry Period, scan the provided QR code at the Event and provide your email address to sign up for the Spice World newsletter (each, an “Entry”). Limit one (1) Entry per person during the Entry Period. Entries that are not received by Sponsor for any reason will not be eligible and will be disqualified.  Automated or bulk entries or entries submitted by third parties will be disqualified. Incomplete, illegible, corrupted or untimely entries are void and will be disqualified. Multiple participants are not permitted to share the same email address. Sponsor is not responsible for lost, misdirected, false, corrupted, illegible or late entries. Sponsor shall have the sole discretion to determine the validity of an Entry.

Prize; Winner Selection; Odds: On or about October 24, 2025, Sponsor will select, via a random drawing, five (5) potential winners from all eligible entries received during the Entry Period to each receive one (1) pair of custom, Sponsor-branded Converse sneakers. Colors/models may vary and are at Sponsor’s discretion. Winners may have the ability to select among different design options.  The odds of winning depend on the total number of eligible entries received. Total Prize ARV: $XX

The potential winners will be notified via the selected winner’s email address used to enter the Trade Promotion. The potential winners must respond by email within two (2) days of the original email message, or they may forfeit the Prize. In the response, the potential winners must also provide their shoe size and, if applicable, pick their preferred shoe design among the provided options. The potential winners will also be required to provide Sponsor with a mailing address to which Sponsor or its designee will ship the Prize.  Winners should allow some time for production of the custom Prize and shipping.

The potential winners are subject to verification before the Prize will be awarded. The potential winners agree to furnish any documentation requested by Sponsor in connection with the awarding of the Prize, including travel documents, releases, and affidavits or declarations of eligibility.  All prizes will be awarded. The Prize is non-transferable, and no substitutions are allowed except by Sponsor who may award a prize for one of comparable or greater value for any reason. Winners are solely responsible for all taxes on the prize, including applicable income or local personal property taxes on the prize. Winners will, if applicable, be issued a 1099 form from the Internal Revenue Service. By entering this Promotion, each participant accepts and agrees to be bound by these Official Rules and the decisions of the Sponsor. By participating in this Promotion, each participant also represents that there is no legal or contractual restriction barring participation, including, without limitation, any restriction from participant’s employer or company. Non-compliance with any of the foregoing and any other condition of this Promotion may result in disqualification and forfeiture of the Prize, in which case, no consideration will be awarded.

In the event of a dispute over the identity of any entrant, the entry will be deemed made by the person identified to be the Authorized Account Holder of the email address used at registration, but only if that person meets all other eligibility criteria, otherwise the entry may be disqualified, and any potential prize won will be forfeited in Sponsor’s sole discretion. “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet service provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Rights Granted to Sponsor: By entering this Promotion, Participants understand and agree that Sponsor, anyone acting on behalf of Sponsor, and Sponsor’s licensees, successors, and assigns, shall have the right, where permitted by law, to use, publicly display, print, publish, reproduce, distribute, modify, create derivative works from, and provide access to Winner’s submission(s), name, address (city and state/province/territory), likeness, photograph, picture, portrait, voice, opinions, biographical information, and/or any statements made by Participant regarding the Promotion or the Prize for advertising and promotional purposes without limitation, in any media, worldwide, without notice or additional compensation or consent, except where prohibited by law. If a Participant chooses to submit or post any media content (including but not limited to photographs, videos, recordings) in connection with this Promotion, that Participant grants to Sponsor and its partners and designees, a worldwide, royalty-free, perpetual, non-exclusive right and license to use, reproduce, copy, distribute, and display each submitted Entry and any part thereof, in any media, and the right to use, copy, modify, edit, and create derivative works therefrom, and agrees to execute documents confirming such right and license at Sponsor’s reasonable request.

General Conditions and Release: By participating in the Promotion, except where prohibited by law, Participant agrees to release and hold harmless Sponsor, its parents, affiliates, subsidiaries, retailers, distributors, advertising and promotion agencies, suppliers, and those acting pursuant to Sponsor’s authority, and all of their officers, directors, employees, agents, and legal counsel (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any compensation, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) errors on Sponsor’s website; (c) lost, delayed, postage-due, misdirected, or undeliverable communications; (d) errors in the administration of the Promotion or the processing of entries; or (e) any injuries, losses, or damages of any kind to participants or any other person or entity, including personal injury or death to participant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the compensation, entry, or participation in this promotion or in any promotion-related activity, or any claims based on publicity rights, defamation, or invasion of privacy or merchandise delivery.

Participant further agrees that, except where prohibited by law, in any cause of action Sponsor’s liability will be limited to the cost of entering and participating in the Promotion, if any, and in no event shall the Sponsor be liable for attorney’s fees. Without limiting the foregoing, everything regarding this Promotion, including the web site and any compensation, is provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Choice of Law and Forum; Class Action Waiver: Participants agree that all disputes relating to the administration of the Promotion or issuance of any prize will be resolved in the appropriate courts in the state of Florida, exclusively, and subject to the laws of the state of Florida, without regard to conflicts of laws. Participants agree that causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, exclusively before a court located in Florida having jurisdiction. Further, in any such dispute, under no circumstances shall Participants be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than a Participant’s actual out-of-pocket expenses. Participants further waives all rights to have damages multiplied or increased.
